These Terms of Service ("Terms") govern your access to and use of the DistilHire website and platform at distilhire.com(the "Service").

DistilHire is a brand operated by One Bit Technology LLP ("DistilHire", "we", "us", or "our").

By accessing or using the Service, creating an account, submitting information, participating in an assessment or interview, applying for a role, or using the Service on behalf of a company, you agree to these Terms.

If you do not agree with these Terms, you must not use the Service.

1. Our Services

DistilHire provides recruitment and technical hiring services to companies and candidates.

Our Services may include sourcing candidates, candidate screening, technical assessments, interviews, candidate evaluation, candidate shortlisting and facilitating introductions between candidates and companies.

For client companies, DistilHire may identify and evaluate candidates and present suitable candidates for consideration.

For candidates, DistilHire may provide access to profiles, assessments, interviews and employment opportunities.

DistilHire does not guarantee that a candidate will be shortlisted, interviewed, offered employment or hired, and does not guarantee that a client company will successfully fill a role.

Any commercial arrangement between DistilHire and a client company, including placement fees, replacement terms, payment obligations or other commercial terms, may be governed by a separate agreement.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

If you use the Service on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms.

You are responsible for ensuring that all information you provide to us is accurate, complete and not misleading.

3. Accounts and Account Security

Certain features may require you to create an account.

You are responsible for maintaining the confidentiality of your account credentials and for activities carried out through your account.

You must promptly notify us if you believe that your account has been accessed or used without authorisation.

We may suspend or restrict access to an account where we reasonably believe that the account has been compromised, misused or used in violation of these Terms.

4. Candidate Information

Candidates are responsible for ensuring that information submitted to DistilHire, including resumes, professional history, education, skills, work samples, assessment responses and other information, is accurate and does not knowingly contain false or misleading information.

You must not submit information belonging to another person without appropriate authorisation.

By submitting information through the Service, you grant DistilHire a non-exclusive right to use, reproduce, store, process and share that information as reasonably necessary to provide the Services, conduct hiring processes, evaluate your candidacy, communicate with relevant parties and otherwise operate the Service, subject to our Privacy Policy and applicable law.

You retain ownership of the original content you submit.

5. Assessments and Interviews

DistilHire may require candidates to complete technical assessments, coding exercises, interviews or other evaluation activities.

Certain assessments may be time-limited or include reasonable measures designed to maintain assessment integrity. Where applicable, relevant monitoring or access requirements will be disclosed before the assessment begins.

You must complete assessments and interviews yourself unless we expressly permit otherwise.

You must not:

• Have another person complete an assessment or interview on your behalf.
• Misrepresent your identity, qualifications or experience.
• Use prohibited assistance, materials, tools or services where the applicable assessment rules prohibit them.
• Attempt to circumvent technical, security or assessment-integrity controls.
• Manipulate, falsify or interfere with assessment results.

Where an assessment or interview is found to have been materially compromised, DistilHire may invalidate the relevant result, remove you from an active hiring process, suspend your account or take other appropriate action.

6. Hiring Decisions

DistilHire may provide information, assessments, interviews, recommendations or other hiring-related services to client companies.

However, final decisions regarding whether to interview, hire, reject, compensate or otherwise engage a candidate are made by the relevant client company.

DistilHire does not guarantee employment, compensation, promotion, continued employment or any other employment outcome.

Candidates are responsible for independently evaluating employment opportunities and any terms offered by a client company.

A candidate's participation in an assessment, interview or shortlist does not create an employment relationship with DistilHire.

7. Client Companies

If you use the Service on behalf of a company, you represent that:

• You have authority to act on behalf of that company.
• Information you provide regarding roles, requirements, compensation, location and hiring criteria is accurate to the best of your knowledge.
• You will use candidate information only for legitimate recruitment and hiring purposes.
• You will handle candidate information in accordance with applicable law and your own privacy obligations.
• You will not use information obtained through DistilHire for unrelated purposes without appropriate authorisation.

Client companies are responsible for their hiring decisions and for complying with employment, anti-discrimination, privacy and other laws applicable to their hiring activities.

Commercial terms between DistilHire and a client company, including fees and payment obligations, may be governed by a separate written agreement. Where such an agreement exists, it will prevail over these Terms to the extent of any inconsistency concerning the specific commercial relationship.

8. Prohibited Conduct

You must not use the Service to:

• Provide false, fraudulent or misleading information.
• Impersonate another person or organisation.
• Gain unauthorised access to accounts, systems or data.
• Circumvent security, access controls or assessment-integrity measures.
• Interfere with the operation, availability or security of the Service.
• Scrape, harvest, copy, reproduce, redistribute or commercially exploit data or content from the Service without our written permission.
• Reverse engineer, decompile or attempt to discover the underlying source code or non-public technical architecture of the Service, except where expressly permitted by applicable law.
• Upload malicious code, malware or other harmful material.
• Use candidate information obtained through the Service for purposes unrelated to legitimate hiring activities.
• Use the Service for unlawful, fraudulent or abusive purposes.
• Attempt to obtain access to information or functionality that you are not authorised to access.

We may suspend, restrict or terminate access where we reasonably believe that a user has violated these Terms or created a risk to the Service, another user or DistilHire.

9. Intellectual Property

The Service and its underlying materials are owned by or licensed to DistilHire and are protected by applicable intellectual property laws.

This includes, among other things:

• DistilHire's branding and trademarks.
• Website and platform design.
• Software and functionality.
• Question banks and assessment materials.
• Evaluation frameworks and rubrics.
• Written content and documentation.
• Non-public processes, methodologies and materials.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, reproduce, publish, sell, license or create derivative works from DistilHire's intellectual property.

You retain ownership of content you independently submit to the Service, subject to the rights granted to DistilHire under these Terms and our Privacy Policy.

10. Confidentiality

Information made available through the Service may include confidential or commercially sensitive information belonging to DistilHire, candidates or client companies.

You agree not to disclose, reproduce or misuse confidential information obtained through the Service except where authorised or required by law.

This obligation does not apply to information that:

• Is publicly available through no breach of these Terms.
• Was lawfully known to you before receiving it.
• Is independently developed without use of confidential information.
• You are legally required to disclose.

11. Third-Party Services

The Service may depend on third-party services, systems or infrastructure.

We may also provide links to third-party websites or services.

Third-party services may be subject to their own terms and policies. DistilHire does not control and is not responsible for third-party services, their availability, content, security practices or policies.

We will take reasonable steps to maintain continuity of the Service but cannot guarantee that third-party failures or outages will never affect availability.

12. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms by reference.

You should review the Privacy Policy to understand how we collect, use, disclose, retain and protect personal information.

13. Service Availability

We may modify, suspend, restrict or discontinue any part of the Service at any time where reasonably necessary for maintenance, security, operational, commercial or legal reasons.

We do not guarantee that the Service will always be available, uninterrupted, secure or error-free.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded under applicable law.

14. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

We do not warrant that:

• The Service will always be available or uninterrupted.
• The Service will be free from errors or defects.
• Information provided through the Service will always be complete or accurate.
• Any particular candidate will be hired.
• Any particular client company will fill a role.
• A candidate will receive a particular salary, position or employment benefit.
• A hiring process will produce any particular outcome.

Information and assessments provided through DistilHire are intended to support hiring processes and should not be treated as a guarantee of a candidate's future performance or suitability.

Client companies remain responsible for conducting whatever additional evaluation or verification they consider appropriate before making employment decisions.

15. Limitation of Liability

To the maximum extent permitted by applicable law, DistilHire and its partners, officers, employees and representatives will not be liable for indirect, incidental, special, consequential or punitive losses arising from or relating to your use of the Service.

This includes losses relating to employment decisions, hiring outcomes, recruitment decisions, loss of business, loss of profits, loss of opportunity, loss of data or interruption of business.

To the maximum extent permitted by applicable law, our total liability arising out of or relating to the Service will be limited to the amount you paid directly to DistilHire for the Service giving rise to the claim during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability to the extent that such limitation or exclusion is prohibited by applicable law.

16. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless DistilHire, One Bit Technology LLP and their respective officers, employees and representatives from claims, losses, liabilities, damages, costs and expenses arising from:

• Your breach of these Terms.
• Your misuse of the Service.
• Information or content you submit that is unlawful, fraudulent or infringes another person's rights.
• Your violation of applicable law.
• Your unauthorised use of another person's account or information.

We reserve the right to assume the exclusive defence and control of any matter for which you may be required to indemnify us, and you agree to cooperate with that defence.

17. Suspension and Termination

You may stop using the Service at any time.

We may suspend, restrict or terminate your access if:

• You breach these Terms.
• We reasonably believe your use presents a security, legal or operational risk.
• Your account is involved in fraudulent or abusive activity.
• We are required to do so by law or a competent authority.
• We discontinue the relevant Service.

Termination does not affect provisions that by their nature should continue after termination, including provisions concerning intellectual property, confidentiality, liability, indemnification, disputes and governing law.

18. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, business practices or legal requirements.

When material changes are made, we may provide additional notice where appropriate or required by law.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

19. Governing Law and Disputes

These Terms are governed by the laws of India.

Any dispute arising out of or relating to these Terms or the Service will be subject to the jurisdiction of the courts competent under applicable law.

Nothing in this section prevents a party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary.

20. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreement applicable to a particular Service or client relationship, constitute the agreement governing your use of the Service.

If a separate written agreement between DistilHire and a client company conflicts with these Terms, the separate agreement will control for matters specifically covered by that agreement.
